These General Terms and Conditions (this “Agreement”) apply to a Site Search Service called Findkit (“Service, Findkit”) which is owned and operated by Valu Digital Oy (business id: FI10974108). Findkit is a supplementary firm name of Valu Digital Oy.
By accepting these Terms and Conditions as an individual or behalf of an legal entity, You (“You”) agree to be bound by these Terms and Conditions when using the Service.
Findkit reserves the right to change the Service and these Terms and Conditions at any time and for any reason. You have the right to terminate this agreement at any time and for any reason.
1. Service and Service Plans
Findkit offers a platform on which You can build and manage site search functionalities to Your websites or Your customers websites. You can create and manage Your site search projects as an individual or behalf of a legal entity or organisation.
The costs, fees and payment terms associated with the Service may vary depending on the service plan You select. You can select the plan most suited to Your needs in the Findkit hub (hub.www.findkit.com).
The Service does not limit Your right to define your own billing model connected for Your own customers.
2. Registration
When registering to the Service You have to be at least 18 years old. When You register on behalf of a legal entity or organisation You must have a legal right or permission to do so.
You are fully responsible for all use of Your account, username and password connected to the Service. You agree to notify Findkit immediately if there is any unauthorised use or suspected unauthorised use of your Findkit account or unauthorised use of the identifiers connected to it.
As a registered user of the Service You agree to keep Your contact information and other information associated with Your account up to date.
Findkit has the right to refuse any registration.
3. Content & Materials
As You register to the Service and when You use the Service, You warrant that You have the permission to use the Service on behalf of the owners of the websites (“projects”) You add to the Service and the search index.
You agree that You control the Websites and the Materials You submit for creating Your projects at the Findkit hub. Findkit is not responsible for the Material controlled by You. Findkit provides only a platform for managing your site search projects.
Findkit cannot guarantee that the Service allows You to collect data on any site. Some technical limitations may apply.
4. Payment Terms
Findkit charges the Service fees automatically monthly in advance. All amounts shall be payable in euros. The charges are fully dependent on the Plan You select.
You are free to terminate Your use of the Service of parts of the Service (for example some of Your projects) anytime. However, the termination has to be done min. 5 days before the next automatic charge if You want to avoid the following charge.
By accepting this agreement You warrant that You have the legal right or permission to use the credit card or other payment method to pay the fees connected with Your service plan through Findkit Hub.
Already paid amounts for the Findkit service are nonrefundable.
The Service reserves the right to change its pricing.
5. Prohibited use
You are not allowed to use the Service in breach of this Agreement or use the Service for any illegal, infringing or inappropriate purposes.
You are not allowed to abuse the Free Plan by creating a new project on the same site to avoid payment.
6. Export Control and Compliance
The use of the Service is subject to compliance with export control and sanctions laws and regulations of the European Union (EU), the United States (US), and any applicable jurisdiction (“Export and Sanctions Laws”). You agree to adhere to all such Export and Sanctions Laws.
You represent and warrant that neither you nor any of your owners, directors, or officers, nor any users of the Service, are subject to any restrictions under Export and Sanctions Laws, nor are you acting on behalf of any person or entity that is subject to such restrictions.
You may not use, distribute, transfer, or transmit the Service or any related technical information (even when integrated into other products or services) in contravention of Export and Sanctions Laws. Specifically, you must not allow any user to access or utilize the Service in any country or region that is subject to restrictions under Export and Sanctions Laws, which include, but are not limited to, Cuba, Iran, North Korea, Syria, and the Crimea Region.
7. Intellectual Property Rights
By using the Service You acknowledge and agree that Findkit owns all intellectual property rights to the Findkit Service and the Findkit brand.
8. Limitation of Liability
You acknowledge and agree that the Service is provided “as is” and You are free to terminate this Agreement at any time for any reason. Findkit offers no warranties or conditions of any kind for any particular purpose.
Findkit has a right to suspend the Service or its part at any time for maintenance or for any other reason.
Findkit shall not be liable for any failure or delay resulting from any condition which is beyond its control (Force Majeure) including but not limited to: war, strikes, fire, incidents of severe weather conditions, natural disasters, outages of power, network interruptions, nonperformance or delays of third party suppliers connected to the Service.
9. Termination
Both parties may terminate this agreement by a written notice to the other Party. Termination will be effective at the end of the next calendar month from the calendar month in which the termination notice was received.
Findkit does not refund any fees connected with the termination period.
As You terminate the Service You agree to remove Your projects from the Findkit Hub and any tags or code connected to the Service and the Findkit brand. Also You acknowledge that Findkit has the right to delete all the materials from the Service connected to Your account.
10. Other Provisions
This Agreement cannot be transferred to a third party.
Findkit may use Your general and public information related to You in its marketing purposes by good business practice.
11. Governing Law and Resolution of Disputes
This Agreement shall be governed by the laws of Finland. Any dispute arising relating to this Agreement shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitration of the Finland Chamber of Commerce. The language of the arbitration shall be English or Finnish.
